Article I · On practice

What we do, told plainly.

Six practice groups, set out below in the order they most often appear on a given file. Each is partner-led; each ties cleanly to the next when work spills across them.

I

Mergers & Acquisitions

Buy-side and sell-side counsel for private companies. From letter of intent through closing, with diligence run in days, not months. Sector experience in energy services, industrial trades, distribution, and professional services.

II

Corporate Advisory

Incorporation, shareholder agreements, financings, and governance. Structured cleanly enough that the next round, exit, or audit is not a clean-up project.

III

Commercial Real Estate

Acquisitions, leasing, development, and refinancing. Title work and closing coordination for industrial, retail, and mixed-use assets across the Prairies.

IV

Regulatory & Compliance

Provincial and federal licensing, AGLC, AHS, and securities exemptions. Practical paths to compliance for operating businesses, drawn with the regulator's likely questions in mind.

V

Commercial Litigation

Dispute resolution, contract enforcement, and shareholder disputes. We choose the venue that finishes fastest for your business reality, and we tell you when settlement is the better road.

VI

Tax Structuring

Reorganizations, holding-company structures, and tax-efficient exits. Coordinated with your accountant from the first draft, not the last.

Article II · On method

Three things we promise.

The best invoice is the one your client expected, sent for the work they asked you to do. — Eleanor Whitcomb, founding partner
i.

Fixed-fee, where we can

Most transactional work prices cleanly. We quote a fixed fee with a written scope and tell you, up front, the small set of things that would change it.

ii.

Senior counsel, every file

A partner reads every draft on your file. Juniors do the work that benefits from juniors. Partners do the work that benefits from a partner.

iii.

Same-day responsiveness

If you reach out before 3pm on a business day, you hear back the same day. Even if the answer is "we are on it, expect detail by Wednesday."

Article III · Counsel

Lawyers you will work with directly.

Four partners. No relationship lawyers; the person you meet is the person on the file.

Ew

Eleanor Whitcomb

Founding Partner · M&A

Twenty-two years advising on mid-market transactions. Former in-house at an Edmonton-based energy services group. Calls a spade a spade.

Ml

Marcus Lange

Partner · Real Estate

Industrial and mixed-use transactions across the Prairies. Closed the Strathcona Logistics assemblage. Asks the title questions that save closings.

Pk

Priya Kapoor

Partner · Corporate & Tax

Reorganizations and holding structures, and the moments those two meet. Coordinates with your accountant so the structure survives the audit.

Do

Daniel Osei

Counsel · Regulatory

Provincial licensing and federal compliance. Former regulator. Knows which questions the reviewer is going to ask before the reviewer does.

Article IV · The docket

A sample of recent files.
